DEFINITIONS

(a) 'Image' is defined as a StockFLA Photographic Image in tangible or digitalized form.

(b) 'Contents' means all files which are part of the stock movie or StockFLA.com files, including, but not limited to, digital Images, text, graphics, photographs, vector images, sound, illustrations, animations, 3D files, script code and video. All Contents, including, but not limited to final StockFLA products, online Website files or offline demonstration files.

(c) 'You' and 'Purchaser' means a party who purchases any Content from StockFLA, uses the Website or downloads any digital files from the Website or Contents file hosting website containing final commercial Contents. If any of Your actions are on behalf of Your employer, this definition will include Your employer. You warrant that any person you provide any Contents at Your request will comply with the terms of this License Disclaimer, and shall be personally liable to stockFLA if this person fails to do so, and will be considered as if such failure were a failure by You.

(d) 'Website' means the whole or any part of the web site pages at http://www.stockfla.com (or domain equivalent), including the layout, design elements, script or code elements, text, graphics, sounds, animated elements or other content of the Website.

(e) 'Artist' means the creator of the Image

STOCKFLA LICENSE & TERMS AND CONDITIONS

1. In consideration of payment by You of the fees for Contents to StockFLA, StockFLA grants You a license to use these Contents to the conditions agreed to by You under the terms and conditions contained herein.

2. All Contents are intellectual property of StockFla.com, Affiliated Developers and Affiliated Designers, and may not be sub-licensed, resold, or otherwise made available for use or distribution separately or detached from a product or web page. You may not request donations for Contents. None of the Contents may be used in any way which could be considered competitive or harmful to StockFLA Contents or any type of StockFLA stock movies as commercial products. Unlicensed use of the Contents is prohibited, it is in violation of international copyright laws.

3. Contents may be used in forms of artwork, websites, multimedia productions, or other forms of productions, provided it does not conflict with point 2. contained in the License Disclaimer. Contents may be used as an integral part of a final result, but may not be made available for downloading separately or in a format designed or intended for permanent storage or reuse by website users. Third parties may be provided with copies of Contents as an integral part of work product, but may not be provided with Contents or permitted to use Contents separately.

4. Use of the Contents must be in compliance with all applicable laws, including, but not limited to, laws and regulations relating to copyright, and may not be used in a manner which is pornographic, defamatory or unlawful.

STOCKFLA LICENSE - SUB LICENSE BY ARTIST MIRO SANTANA

The Artist licenses to the Purchaser the use of the Image only on a non-exclusive and non-transferable basis.

All rights to the Image and any accompanying contents, including without limitation, intellectual copyright and all other rights, are retained by the StockFLA Artist.

The Purchaser has nontransferable, nonexclusive right to:

- Create a backup or copy of the Image, limited to and as necessary for internal use only. Any copy you create must contain the Image´s copyright information.

- Use the Image in electronic or print media, including editorial usage, advertisement, and consumer merchandise.

- Use the Image for items for resale, provided these items are not intended to allow distribution or use of the Image.

- Modify, alter or edit the Image as necessary for your use, provided that the rights to any derivative work shall belong to the Artist. All copyrights for derivative works will be assigned to the Artist, and you agree to provide a written assignment of any such copyrights to the Artist if requested by the Artist.

- Provide temporary copies of the Image to a third party (such as a printer), provided it is integral to your work product and nessesary for processing purposes (such as printing)

The Purchaser may not:

- Transfer the rights to the Image or accompanying materials unless authorized by the Artist.

- Remove any copyright or trademark where the Image contains one.

- Use the Image in any way that could be considered defamatory, pornographic, libelous, immoral, obscene or fraudulent.

- Display the Image in any digital format at a resolution greater than 480x320 pixels, with exception of editorial or preliminary design work.

- Use the Image or any part of the Image as part of a trademark, service mark, or logo. For any derivative work of the Image, you need the Artist permission or contact the Artist to purchase a seperate copyright license to use the derivative work as part of a trademark, service mark, or logo.

- Resell, distribute or sublicense the Image or the rights to use the Image to anyone for any purpose.

- Use the Image in a product where the buyer or licensee of that product can use the Image for its own purposes.

DISCLAIMER OF WARRANTY

The Contents are delivered "as is" and without warranties as to performance or merchantability or any other warranties whether expressed or implied. because of the various hardware and software environments into which the Contents may be put, no warranty of fitness for a particular purpose is offered.

The Images are delivered "as is" and without warranties as to Image quality, Image resolution, performance or merchantability or any other warranties whether expressed or implied.
